FX has been looking into incorporating in the United States to allow local investment in a US corporation, but for now FX Bikes is incorporated as a privately held New Zealand Limited Liability Company and as such is not open to purchase of securities by members of the public.
FX Bikes can only take investment from:
1. an “eligible person” as defined in section 5(2CC) of the New Zealand Securities Act being one or more of the following:
- wealthy (as defined in subsection (2CD)):
- experienced in investing money (as defined in subsection (2CE)):
- experienced in the industry or business to which the security relates (as defined in subsection (2CE));
2. A relative or close business associate of FX Bikes or of a director of FX Bikes;
3. a person whose principal business is the investment of money or who, in the course of and for the purposes of his business, habitually invests money;
4. a person who is required to pay a minimum subscription price of at least $500,000 for the securities before the allotment of those securities;
5. a person who has previously paid a minimum subscription price of at least $500,000 for securities (the initial securities) in a single transaction before the allotment of the initial securities, provided that—
- the offer of the securities is made by FX Bikes of the initial securities; and
- the offer of the securities is made within 18 months of the date of the first allotment of the initial securities;
6. a person who in all the circumstances can properly be regarded as having been selected otherwise than as a member of the public.
